Nhà Khang Điền (KDH) muốn phát hành hơn 100 triệu

Nhà Khang Điền dự kiến phát hành gần 91 triệu cổ phiếu theo tỷ lệ 10%, tức cổ đông sở hữu 100 cổ phiếu được nhận 10 cổ phiếu mới.

Với phương án phát hành ESOP, KDH sẽ phát hành 10,8 triệu cổ phiếu với giá 17.000 đồng/cp – thấp hơn 54% giá thị trường hiện nay. Cổ phiếu phát hành bị hạn chế chuyển nhượng 1 năm kể từ ngày kết thúc đợt phát hành.

Theo danh sách người lao động được tham gia đợt phát hành ESOP, Chủ tịch HĐQT Mai Trần Thanh Trang được mua với số lượng lớn nhất (hơn 1,8 triệu cổ phiếu). Kế đến là Phó chủ tịch HĐQT Lý Điền Sơn (hơn 1,7 triệu cổ phiếu); Tổng giám đốc Vương Văn Minh (hơn 1,5 triệu cổ phiếu); Phó tổng giám đốc Lê Hoàng Khởi (1 triệu cổ phiếu)…

Thời gian thực hiện hai phương án trên là sau khi UBCKNN thông báo đã nhận đầy đủ tài liệu báo cáo phát hành, dự kiến vào quý 3 và/hoặc quý 4/2024.

Nếu hoàn tất phát hành tổng cộng gần 102 triệu cổ phiếu phát hành để trả cổ tức và ESOP, vốn điều lệ của Nhà Khang Điền sẽ nâng từ 9.094 tỷ đồng lên 10.114 tỷ đồng.

Trước đó vào tháng 7, Nhà Khang Điền cũng vừa hoàn tất đợt phát hành riêng lẻ 110 triệu cổ phiếu với giá 27.250 đồng/cổ phiếu cho 19 nhà đầu tư. Qua đó, thu về 3.000 tỷ đồng.

Theo kế hoạch, công ty sẽ dùng 300 tỷ đồng để trả nợ vay và 2.700 tỷ đồng để đầu tư góp vốn vào Công ty TNHH MTV Đầu tư Kinh doanh Nhà Khang Phúc để đơn vị này thanh toán các khoản nợ ngân hàng.

Nhà Khang Phúc là công ty con do Nhà Khang Điền sở hữu trực tiếp 100% vốn điều lệ. Đây cũng là công ty con có vốn điều lệ lớn nhất trong 30 công ty con hiện tại của Nhà Khang Điền với 3.400 tỷ đồng.
